Agreement Overview

This Terms of Service agreement ("Agreement") is between you ("User," "Client," or "you") and Nova Wealth Creations, LLC ("Company," "we," "us," or "our").

This Agreement governs your use of all Nova Wealth Creations services, including educational programs, consulting services, and the Nova Wealth Path software platform. For service-specific terms, see our Nova Wealth Creations terms or Nova Wealth Path terms.

Services Description

Nova Wealth Creations (NWC) Services

• Financial Management Education: Structured training programs and courses providing financial knowledge and strategies
• Digital Business Consulting: Strategic guidance for digital asset development and online business opportunities
• IT & DevSecOps Services: Technical consulting for infrastructure development and security implementation

Nova Wealth Path (NWP) Platform

• Starter Tier: Free financial management tools and community access
• Growth Tier: Advanced personal financial planning features
• Business Tier: Professional business financial management tools
• Enterprise Tier: Portfolio management and advanced business features

User Eligibility

By using Nova Wealth Academy services, you represent and warrant that:

• You are at least eighteen (18) years of age
• You are of sound mind and have the legal capacity to enter into and uphold the terms of this Agreement
• If you are using the Services on behalf of a business entity or other third party, you have the express authority to act as an agent of that entity and, as a component of that agency, you have the right and ability to agree to these Terms on behalf of that entity
• You are not prohibited from entering into this Agreement by the terms of any preexisting agreement or legal restriction

Governance of Other Policies

These Terms govern your access to and use of all Nova Wealth Academy services and apply generally to all features, content, and services made available. Certain features or activities may also be subject to additional guidelines, policies, or notices published by the Company from time to time, including without limitation the Privacy Policy, Accessibility Statement, and any other supplemental terms or policies (collectively, the "Policies"), all of which are incorporated into these Terms by reference.

Unless expressly stated otherwise, these Terms control and prevail in the event of any conflict between these Terms and any Policy. Without limiting the foregoing, all Policies are subject to and governed by the provisions of these Terms, including without limitation the governing law, dispute resolution and arbitration, class action waiver, limitations of liability, and indemnification provisions set forth herein.

Your continued use of the Services constitutes your acceptance of these Terms and all applicable Policies, as updated from time to time.

User Responsibilities and Conduct

Account Responsibilities

• Provide accurate and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized account access
• Keep your contact information current and accurate
• Use services only for lawful purposes and in accordance with these terms

Payment Terms and Billing

Payment Processing

We accept payments through Stripe and other PCI-compliant payment processors. All payments are securely processed by third-party providers, and we do not store complete payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our processors to charge the total amount due. Orders may be canceled or suspended if payment fails.

By submitting payment through any of these services, you acknowledge and agree that your transaction is governed by the applicable terms, conditions, and privacy policies of the respective payment processor, and you should review those policies for details regarding your rights and obligations.

Subscription Services

• Monthly and annual subscription options available for paid tiers
• Automatic renewal unless cancelled before renewal date
• Payment due in advance for subscription periods
• Price changes communicated with 30 days advance notice
• Failed payments may result in service suspension
• All fees are non-refundable except as required by law

Educational Programs and Consulting

• Payment terms specified in individual service agreements
• Some services may require upfront payment or deposits
• Custom consulting engagements subject to separate agreements

Cancellation and Refunds

• Subscription cancellations take effect at end of current billing period
• No prorated refunds for partial subscription periods
• Educational program refund policies specified in individual program terms
• Consulting service refunds handled on case-by-case basis

Intellectual Property Rights

Content Ownership

All content, features, functionality, designs, text, graphics, logos, images, audio, video, software, educational materials, and other materials on or provided through our Services (collectively, "Content") are the exclusive property of the Company or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Except as expressly authorized by these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, perform, or otherwise use any Content for commercial or non-personal purposes. You may access and use the Content solely for your personal, non-commercial educational use and in accordance with these Terms.

All trademarks, service marks, and logos appearing on or in connection with our Services are the property of the Company or its licensors, and no right, title, or interest in any trademark, service mark, or logo is granted to you. Nothing in these Terms shall be construed as granting any license or right to use any of the Company's or its licensors' intellectual property, except as expressly stated herein.

Limited License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services, create an account, and use the tools, services, and Content made available through the Services solely for your personal, non-commercial educational purposes.

This license does not grant you any ownership rights in the Services or their Content. The Company may suspend or terminate this license and your access to the Services, in whole or in part, immediately and without notice if you violate these Terms, misuse the Services, or engage in conduct that the Company believes may harm the Services, their users, or the Company's business.

All rights not expressly granted to you under these Terms are reserved by the Company.

Your Content and Data

• You retain ownership of data and content you provide
• You grant us license to use your data to provide services
• We may use aggregated, de-identified data for business purposes
• You represent that you have rights to all content you provide

Service Availability and Modifications

Platform Availability

• We strive for high availability but cannot guarantee uninterrupted service
• Scheduled maintenance will be communicated in advance when possible
• We are not liable for downtime, technical issues, or service interruptions

Service Modifications

• We may modify, update, or discontinue features with reasonable notice
• Major changes affecting paid services will include migration assistance
• We reserve the right to suspend accounts for terms violations

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Termination

Your Right to Terminate

• You may cancel subscriptions through your account settings
• Cancellations take effect at the end of the current billing period
• You may request account deletion by contacting support

Our Right to Terminate

• We may suspend or terminate accounts for violations of these terms
• We may discontinue services with reasonable advance notice
• Immediate termination may occur for serious violations or illegal activity

Effect of Termination

• Your access to services will cease upon termination
• Some provisions of these terms survive termination
• You remain responsible for charges incurred before termination

Governing Law and Dispute Resolution

Choice of Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of the Services (whether based in contract, tort, statute, or otherwise) will be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.

Arbitration; Waiver of Jury Trial and Class Actions

Except for claims that may be brought in small claims court or requests for temporary or preliminary injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and you and the Company waive any right to a jury trial or to participate in a class, collective, or representative action.

Arbitration will take place in your county of residence or remotely at your election. The Company will pay all arbitration filing, administrative, and arbitrator fees required under the applicable consumer rules (other than any filing fee you would be required to pay if the claim were brought in court). Each party will bear its own attorneys' fees unless otherwise awarded under applicable law.

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by providing written notice to the Company at the address listed below. If any portion of this provision is found unenforceable, the remaining portions will remain in effect, except that if the class action waiver is deemed unenforceable, this arbitration provision shall not apply to that claim.

Class Action Waiver

ANY DISPUTE RESOLUTION PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF SERVICES THROUGH AND/OR OFFERED BY THE COMPANY, WHETHER IN ARBITRATION OR OTHERWISE, SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION, AND YOU AND THE COMPANY EXPRESSLY AGREE THAT CLASS ACTION AND REPRESENTATIVE ACTION PROCEDURES SHALL NOT BE ASSERTED IN OR APPLY TO ANY ARBITRATION PURSUANT TO THESE TERMS.

Before initiating arbitration or any legal proceeding, we encourage you to contact us at info@novawealthcreations.com to resolve issues informally. We aim to respond to all requests within 24 hours during business days.

Geographic Access Restrictions

Educational Service Territory

All Nova Wealth Academy services, including educational content access, community participation, account registration, and related educational support services, are provided exclusively within the territorial boundaries of the United States.

Access Verification

We employ automated geographic detection technology to verify user location. Users attempting to access Nova Wealth Academy services from outside the United States will be automatically blocked and redirected to a geographic restriction notice.

Educational Program Compliance

These restrictions ensure compliance with:

• US educational standards and certification requirements
• Financial education regulatory frameworks
• Community platform operational licensing
• Data protection and student privacy laws
• Professional educational service limitations

Access and Security Framework

Geographic restrictions serve as security measures to protect our educational community and ensure compliance with applicable regulations. Access determinations are made through automated geographic detection systems designed to maintain platform integrity.

Miscellaneous

Severability

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent, but the Company may assign or transfer its rights or obligations without restriction.

Entire Agreement

These Terms, together with all Policies referenced herein, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements or understandings, written or oral.

No Waiver

The Company's failure to enforce any provision of these Terms shall not constitute a waiver of its rights.

Force Majeure

The Company will not be liable or responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, strikes, or internet disruptions.

Survival

The provisions of these Terms that by their nature should survive termination or expiration, including without limitation Intellectual Property, Warranty Disclaimers, Limitation of Liability, Indemnification, and Governing Law provisions, shall survive any termination of your use of the Services.

Changes to Terms of Service

We may update these Terms of Service from time to time. We will notify users of material changes by:

• Updated "Last Modified" date on this document

Continued use of our services after changes constitutes acceptance of the updated terms.
